HE CONSTITUTION OF EGUARE EWOHIMI COMMUNITY IN DIASPORA :

Eguare Ewohimi Esan South in Edo State. We the sons and daughters of
Eguare Ewohimi Community in diaspora hereby come together as a unified
body and enact the following laws hereafter referred to as THE
CONSTITUTION, to govern the operations of the Community.

                                      MISSION STATEMENT :

THE EGUARE EWOHIMI COMMUNITY in diaspora will endeavor to respond to
the growing need for support of public education and health care
facilities AND create a community of Eguare Ewohimi that’s supportive of
the Eguare Ewohimi sons and daughters , Eson, sons and daughters in laws
and create a community of Ewohimi indigenes that is supportive of the
members.

ARTICLE 1: NAME : The Organization shall be called EGUARE EWOHIMI
COMMUNITY

ARTICLE 11 : OFFICE. : 2.1: The registered office of the Community
shall be in the Commonwealth of Massachusetts United States of America..

ARTICLE 111 : AIMS AND OBJECTIVES:

3.1.1: Raise fund and other educational materials through donations and
members contributions toward assisting with educational needs in Eguare
Ewohimi Community.

3.1.2: The Community will strive to contribute towards improving the
standard of living of the people of Eguare Ewohimi Community in Esan
Edo State of the Federal Republic of Nigeria.

3.1.3: The Community shall be solely charitable and a non – profit Or
Non -Business Organization.

3.1.4: The Community is organized exclusively for charitable,
educational, religious and scientific purposes, including for such
purposes,the making of distributions to organizations that qualify as
exempt organizations under section 501(c) (3) of the internal Revenue
Code, or corresponding section of any future federal tax code.

3.1.5: Dissolution : Upon dissolution of the Organization assets shall
be distributed for one or more exempt purposes within the meaning of
section 501(3) of the Internal Revenue Code of 1986 or the corresponding
section of any future federal tax code or shall be distributed to the
federal government or to a State or Local government for a public
purpose. Any such assets not so disposed of shall be disposed of by the
Court of common pleas of the county in which the principal office of the
organization is then located, exclusively for such purpose or to such
organization or organizations as said Court shall determine, which are
organized and operated exclusively for such purposes.

3.1.6: The organization shall not participate in political campaigns,
endorse candidates for political office or otherwise attempt to
influence Legislation, or engage in any conduct that will violate it.
Article of Incorporation and tax-exempt status, under the internal
revenue Code, or law of any jurisdiction.

3.1.7: Encourage and sustain the culture and heritage of Eguare Ewohimi
in Esanland and promote the welfare and encourage the unity of those of
Eguare Ewohimi ancestry resident in diaspora . VICE- PRESIDENT : a)
Shall preside at meetings in the absence of the President and exercise
the power of the President in the absence or on behalf of the President
except authorize financial transactions; d) : In the event that the
president resigns, the Vice President shall have the house conduct
election for the office of the president within three months such
resignation, C):The newly elected President shall serve the
remainder of the term of the resigned President. THE SECRETARY: a):
Shall be responsible for the organization’s correspondence; and keeping
minutes of Executive and general meetings and all other records keeping;
d) : Shall be responsible for sending out notices for various meetings
and in consultation with the President determine the agenda for
meetings. C) : Shall liaise with the Public Relation Officer in
communication between the Organization and the public

ARTICLE 1V: MEMBERSHIP General:

.4.1.1: Membership shall be opened to anyone who is of Eguare Ewohimi
ancestry and who is resident abroad and their non-Eguare Ewohimi spouse.

4.1.2: A person is “Eguare Ewohimi ancestry” if both or one of his/her
parents is Eguare Ewohimi. ARTICLE V: OFFICE AND RESPONSIBILITIES.
SECTION (A) EXECUTIVE COMMITTEE. The executive powers of the
Organization shall be vested in an Executive Committee that shall
consist of the following officers: President, Vice President, Secretary,
Assistances Secretary,Financial-Secretary,Treasurer, Public Relation
Officer. The Executive Committee shall be the governing body of the
Organization. It shall have the power over financial matters and run the
dad to day affairs of the organization, subject to the approval of the
House. SECTION B. Duties of the Officers :

ARTICLE 5: Officers and Responsibilities:

SECTION (A) EXECUTIVE COMMITTEE

5.1.1: The executive powers of the Association shall be vested in an
Executive Committee that shall consist of the following officers:

           President

           Vice-President

           Secretary

           Assistant Secretary

           Financial Secretary

           Treasurer

           Public Relation Officer

           Social Secretary

           Immediate Past President- Ex-Officio and Immediate Past

Secretary-Ex-Officio

5.1.2: The Executive committee shall be the governing body of the
organization. It shall have the power over financial matters and run the
day to day affairs of the organization, subject to the approval of the
house.

5.1.3: No officer shall be liable for any debts incurred in the name and
on behalf of the association.

SECTION B: DUTIES OF OFFICERS

5.2.1: THE PRESIDENT :

  • Shall be the organization’s chief executive officer to whom all the
    other officers are responsible in the execution of their duties.
  • Shall preside at all meetings of the organization. General and
    executive meetings.
  • Shall authorize all financial transactions and be one of the
    Co-signers of the Organization’s accounts/checks;
  • Shall have the power to enter into binding contract on behalf of the
    organization in consultation with the executive committee and the
    approval of the house
  • Shall perform any other duties incident to the office of the President

5.2.2: VICE- PRESIDENT :

  • Shall preside at meetings in the absence of the President and
    exercise the power of the President in the absence or on behalf of
    the President except authorize financial transactions;
  • In the event that the president resigns, the Vice President shall
    have the house conduct election for the office of the president
    within three months such resignation,
  • The newly elected President shall serve the remainder of the term
    of the resigned President.

5.2.3: THE SECRETARY:

  • Shall be responsible for the organization’s correspondence; and
    keeping minutes of Executive and general meetings and all other
    records keeping;
  • Shall be responsible for sending out notices for various meetings
    and in consultation with the President determine the agenda for
    meetings.
  • Shall liaise with the Public Relation Officer in communication
    between the Organization and the public.

5.2.4: THE ASSISTANT SECRETARY:

  • Shall assist the Secretary and exercise the responsibility of the
    Secretary in the latter’s absence

5.2.5: FINANCIAL SECURITY:

  • Shall be responsible for collecting and receiving the Organization’s
    monies-dues and Levies, fines, grants and donations
  • Shall be responsible for keeping all the records of the
    Organization’s monetary transactions
  • Shall deposit all monies received by the Organization into the
    Organization’s Bank Account within five working days of receiving
    such money
  • Shall present to the House, at general meetings, a monthly financial
    report of the Organization’s accounts
  • Shall be one of the Co-signers of the Association’s account/ checks.
  • Shall keep a detailed account of income and expenditure of the
    Organization

5.2.6: TREASURER:

  • Shall be responsible for collecting and receiving the Organization’s
    monies- dues and levies, grants and donations, in the absence of the
    Financial Secretary
  • Shall deposit all Organization’s monies in the bank within 3-5 days
    of receipt
  • Shall be signatory to the Organization’s bank accents.
  • Shall perform any other duties incident to the the office of the
    Treasurer

5.2.7: PUBLIC RELATION OFFICER:

  • Shall be the official spokesperson of the organization and in
    consultation with President publish and disseminate information
    about the organization
  • Shall implement all public relations plans, policies, and goals of
    the organization
  • Shall be responsible for the organization publications and preside
    over a publicity committee

5.2.8: SOCIAL SECRETARY:

  • Shall coordinate all social activities
  • Shall preside over ad-hoc social/cultural committee

SECTION (C) ELECTION OF OFFICERS

5.3.1: SUB-SECTION (1): TERM OF OFFICE

  • A term of office shall be two consecutive calendar years
  • Officers of the organization shall be elected at the general meeting
    of the last month of the year
  • Newly elected executive committee shall assume office at the next
    general meeting followings it’s election
  • Each member of the outgoing executive committee shall in writing,
    hand over all property, and records of the association to the newly
    elected executive committee
